The Nevada Initial/Annual List of Managers or Members (NRS CHAPTER86) is a document that must be submitted to the Nevada Secretary of State by certain types of business entities, such as corporations, limited liability companies, and limited partnerships. This list must be submitted when an entity is forming and then annually thereafter. The list must include the names, addresses, and email addresses of all managers or members of the entity. Additionally, there must be a designated Registered Agent on the list. The document is divided into two parts: the Initial List and the Annual List. The Initial List is submitted to the Nevada Secretary of State when the entity is initially formed. The Annual List is submitted to the Nevada Secretary of State every year, usually on or before the anniversary date of the entity’s formation. The document must be signed by an authorized representative of the entity and must have the business entity’s name, type of entity, and Nevada Secretary of State file number. The document must be signed under penalty of perjury. If the entity has more than ten managers or members, the list must be accompanied by an additional sheet of paper that includes the names, addresses, and email addresses of any additional managers or members. This additional sheet must also be signed under penalty of perjury by an authorized representative of the entity. Failure to file the Initial or Annual List of Managers or Members may result in administrative dissolution or revocation of the entity.
