Nevada (88) Limited Partnership Registration (NRS CHAPTER88) is a legal structure for businesses operating in the state of Nevada. It is a type of partnership where two or more people, called general partners, share management responsibilities and liability. A limited partnership is also composed of one or more limited partners who invest in the business but are generally not involved in its day-to-day operations. To register a Nevada (88) Limited Partnership, the general partners must file a Certificate of Limited Partnership with the Nevada Secretary of State. This certificate must include the name of the partnership, the names and addresses of the general partners, the name of the limited partnership's registered agent, and the purpose of the partnership. Once registered, the partnership has legal standing and can enter into contracts, own assets, and be sued. There are two types of Nevada (88) Limited Partnership Registration: Regular (NRS CHAPTER 88) and Series (NRS CHAPTER 87A). The main difference between the two is the ability of the limited partners to have different rights and obligations in relation to their interests in the partnership. In a regular limited partnership, the limited partners have the same rights and obligations as the general partners, while in a series limited partnership, they have different rights and obligations.
