The New York Application For Mergers Or Apportionment is a process used by businesses in the state of New York to register the formation of a new business entity, the merger of two or more existing entities, or the apportionment of an existing entity. This application is filed with the New York Department of State Division of Corporations. There are two different types of New York Application For Mergers Or Apportionment: the Certificate of Merger and the Certificate of Apportionment. The Certificate of Merger is filed when two or more existing entities merge into a single entity. The Certificate of Apportionment is filed when an existing entity is apportioned into two or more separate entities. Both the Certificate of Merger and Certificate of Apportionment must be signed by an authorized representative of the filing entity. The application must also include the names and addresses of the entities involved in the merger or apportionment, the date of the merger or apportionment, and the information and documents required by the New York Business Corporation Law.
