A New York Certificate of Dissolution Form is a document used to formally dissolve a business entity that was formed in the state of New York. This document is filed with the Secretary of State in order to officially terminate the business entity. There are two types of New York Certificate of Dissolution Forms: Standard Dissolution and Short Form Certificate of Dissolution. The Standard Dissolution form is used to formally dissolve Corporations, Limited Liability Companies, Limited Liability Partnerships, and Limited Partnerships that were formed in the state of New York. The Short Form Certificate of Dissolution is used to dissolve Corporations, Limited Liability Companies, and Limited Partnerships that were formed in the state of New York but have not conducted any business or issued shares. Both forms must include the business name, date of incorporation, and the name and title of the person filing the Certificate of Dissolution. After the forms are completed, they must be notarized and submitted to the New York Department of State.
