The New York Certificate of Change (Domestic LLC) is a document used to make changes in the structure or management of a limited liability company (LLC) registered in the state of New York. It must be filed with the New York Department of State in order to legally effect any changes in the LLC. There are three types of New York Certificates of Change (Domestic LLC): Certificate of Amendment, Certificate of Change in Designated Office and Certificate of Change of a Member/Manager/Governor. The Certificate of Amendment is used to make changes to the LLC's articles of organization, such as name, purpose, etc. The Certificate of Change in Designated Office is used to change the LLC's principal office address, registered agent name, or registered agent address. Lastly, the Certificate of Change of a Member/Manager/Governor is used to make changes to the LLC's members/managers/governors.
