A New York Certificate of Change (also known as a Foreign LLC Certificate of Change) is a document filed with the New York Department of State that officially changes certain information about a foreign LLC registered to do business in New York. Information that can be changed includes the LLC’s name, address, and designated office. This document must be signed by a person authorized to act on behalf of the LLC. There are two types of New York Certificate of Change (Foreign LLC): Certificate of Change (Article 8) and Certificate of Change (Article 9). A Certificate of Change (Article 8) is used to change the name, address, and designated office of an LLC registered to do business in New York. A Certificate of Change (Article 9) is used to change the name, address, designated office, and other information about an LLC registered to do business in New York.
