A New York Certificate of Surrender of Authority (Foreign Limited Partnership) is a legal document filed with the New York Department of State to surrender the foreign limited partnership's authority to conduct business in the state of New York. This document is required when the foreign limited partnership wishes to terminate its business in New York and should be filed by the foreign limited partnership's registered agent. There are two types of New York Certificate of Surrender of Authority (Foreign Limited Partnership): a Certificate of Surrender of Authority and a Certificate of Surrender of Authority for Withdrawal. The Certificate of Surrender of Authority is filed when the foreign limited partnership has never done business in New York, and the Certificate of Surrender of Authority for Withdrawal is filed when the foreign limited partnership has previously done business in New York. Both documents must include the foreign limited partnership's name, date of filing, and the name and address of the registered agent.
