The New York Certificate of Amendment of Certificate of Incorporation (Domestic Corp) is a document that is filed with the New York State Department of State to amend the Certificate of Incorporation for a domestic corporation in the state of New York. The Certificate of Amendment is used when a corporation wants to change the name of the corporation, the number of authorized shares, the par value of shares, the rights of the shareholders, the duration of the corporation, the corporate purpose, the corporate powers, the registered office of the corporation, or the number or titles of the directors. There are three types of New York Certificate of Amendment of Certificate of Incorporation (Domestic Corp): (1) Certificate of Amendment to the Certificate of Incorporation; (2) Certificate of Change of Name of Corporation; and (3) Certificate of Merger, Consolidation or Exchange. Each type of Certificate of Amendment of Certificate of Incorporation must include the name and address of the corporation, the name of the registered agent, the amendment being requested, and the signature of the authorized officer of the corporation.
