The New York Certificate of Surrender of Authority (Foreign Corporation) is a document filed with the New York Department of State that formally revokes the authority of a foreign corporation to do business in the state of New York. This document is required for foreign corporations that are no longer conducting business in New York and wish to terminate their registration. The Certificate of Surrender of Authority must be filed and accepted by the New York Department of State before the foreign corporation’s name can be removed from the list of corporations registered in New York. There are two types of New York Certificate of Surrender of Authority (Foreign Corporation): a Certificate of Surrender of Authority by the Corporation, filed by the corporation itself, and a Certificate of Surrender of Authority by the Attorney General, filed by the New York Attorney General on behalf of the corporation. The Certificate of Surrender of Authority must be signed by a corporate officer or attorney authorized to represent the corporation.
