A New York Certificate of Publication (Domestic LLC) is a document filed by a limited liability company (LLC) in the State of New York. This document serves to officially notify the public of the LLC's formation and existence. It is a document of public record that provides proof of the LLC's legal existence in the state. There are two types of New York Certificate of Publication (Domestic LLC): the standard Certificate of Publication, and the Certificate of Merger/Consolidation. The standard Certificate of Publication is required for all New York LCS, and it must be filed in the county clerk's office where the LLC's principal office is located. The Certificate of Merger/Consolidation is only required when an LLC is merging or consolidating with another entity. Both documents must include the name of the LLC, the date of formation, the office address, the county of formation, and the names and addresses of the LLC's organizers.
