New York Certificate of Publication (Foreign LLP) is a document issued by the New York Department of State that is used to declare the existence of a limited liability partnership (LLP) formed outside the state of New York. It is required when an LLP formed outside the state of New York wishes to conduct business in New York. The Certificate of Publication is a public document that serves to notify the public that the foreign LLP is now conducting business in New York. There are two types of New York Certificate of Publication (Foreign LLP): a Domestic LLP Certificate of Publication and a Foreign LLP Certificate of Publication. The Domestic LLP Certificate of Publication is issued to a limited liability partnership that was formed in New York, while the Foreign LLP Certificate of Publication is issued to a limited liability partnership that was formed outside of New York but wishes to conduct business in New York.
