The New York Certificate of Discontinuance of Business is a legal document issued by the state of New York to officially declare that a business has ceased operations. It is also known as the Certificate of Dissolution of Business or the Certificate of Termination of Business. This certificate is filed with the New York State Department of State to terminate the business entity's legal existence and officially close the business. There are two main types of New York Certificate of Discontinuance of Business: a Certificate of Discontinuance of a Domestic Business and a Certificate of Discontinuance of an Authorized Foreign Business. The Certificate of Discontinuance of a Domestic Business is used when the business entity is registered in New York, while the Certificate of Discontinuance of an Authorized Foreign Business is used when the business entity is registered outside of New York. Each certificate must include the name of the business, the date of discontinuance, the purpose or reason for discontinuing the business, and the signature of the authorized representative of the business. The Certificate of Discontinuance of Business must also be accompanied by the applicable filing fee.
