An Oklahoma Limited Liability Partnership (LLP) is a business structure that combines the organizational advantages of a partnership with the personal liability protections of a corporation. It is recognized by the Oklahoma Secretary of State as a distinct business entity, and is available to all businesses that are not prohibited by law from forming a limited liability partnership. An LLP can have one or more partners, and each partner’s personal assets are protected from the debts and liabilities of the partnership. There are two types of Oklahoma Limited Liability Partnership: a Domestic Limited Liability Partnership (DLL) and a Foreign Limited Liability Partnership (FLIP). A DLL is a business formed under the laws of Oklahoma, and a FLIP is a business formed in another state but registered to do business in Oklahoma.
