Articles of Merger or Consolidation (Oklahoma Limited Liability Company survivor) are documents filed with the Oklahoma Secretary of State to merge or consolidate one or more Oklahoma limited liability companies (LCS) into a single LLC. This document indicates the agreement by the LCS to be merged or consolidated and creates a new LLC that is the “surviving” LLC. The Articles of Merger or Consolidation must include the name of the surviving LLC, the date of the merger or consolidation, the name and address of the surviving LLC's registered agent, the name and address of the surviving LLC's registered office, and other required information. The two types of Articles of Merger or Consolidation (Oklahoma Limited Liability Company survivor) are Articles of Merger and Articles of Consolidation. Articles of Merger are used when one or more LCS are being merged into a single existing LLC. Articles of Consolidation are used when two or more LCS are being combined to form a new LLC. Both types of Articles of Merger or Consolidation must be signed by the appropriate parties, such as the managers or members, and filed with the Oklahoma Secretary of State.
