A Certificate of Merger or Consolidation (Oklahoma corporation into Oklahoma corporation) is a document that is filed with the Oklahoma Secretary of State to legally combine two or more corporations into a single entity. This type of merger or consolidation is limited to Oklahoma-based corporations and can be accomplished in one of two ways. The first way is a statutory merger, which is a type of consolidation in which one corporation (the surviving corporation) is merged into another corporation (the disappearing corporation). All the rights, privileges, and assets of the disappearing corporation are vested in the surviving corporation. The Certificate of Merger must be signed by an authorized officer of each of the merging or consolidating corporations. The second way is a consolidation, which is a combination of two or more corporations into a new corporation. All the assets and liabilities of the combining corporations are combined into the new corporation. The Certificate of Consolidation must be signed by an authorized officer of each of the consolidating corporations. In either case, the Certificate of Merger or Consolidation must be filed with the Oklahoma Secretary of State in order for the merger or consolidation to be legally recognized. Once the Certificate has been filed, the merging or consolidating corporations cease to exist as separate entities and the surviving or new corporation assumes all their rights, privileges, and assets.
