Oregon Amendment Withdrawal (Foreign LLC) is the process of dissolving a foreign limited liability company (LLC) that is registered in the state of Oregon. The process includes filing a Certificate of Amendment Withdrawal with the Oregon Secretary of State, with the original LLC formation documents. This process is necessary for foreign LCS that wish to terminate their registration in the state of Oregon and legally remove their business from the Oregon business registry. There are two types of Oregon Amendment Withdrawal (Foreign LLC): Voluntary and Mandatory. Voluntary Amendment Withdrawal is the process of voluntarily dissolving a foreign LLC that is registered in Oregon. Mandatory Amendment Withdrawal is the process of dissolving a foreign LLC that is registered in Oregon if the LLC fails to file an annual report with the Oregon Secretary of State.
