Oregon Articles of Amendment-Dissolution (Domestic LLC) are legal documents that may be filed with the Oregon Secretary of State to dissolve a Domestic Limited Liability Company (LLC). These documents must be filled out and signed by all members of the LLC and then submitted to the Oregon Secretary of State’s office. The Articles of Amendment-Dissolution will also list any debts and obligations that must be paid off before the LLC can be dissolved. There are two types of Oregon Articles of Amendment-Dissolution (Domestic LLC): Articles of Amendment-Dissolution with Dissolution and Articles of Amendment-Dissolution without Dissolution. The Articles of Amendment-Dissolution with Dissolution must be used when the LLC is being dissolved and all assets of the LLC must be distributed to the members. The Articles of Amendment-Dissolution without Dissolution must be used when the LLC plans to continue operations but wishes to make changes to the LLC’s operating agreement.
