The Pennsylvania Statement With Respect to Shares Domestic Business Corporation is a document filed with the Pennsylvania Department of State to certify the ownership of shares of a domestic business corporation incorporated in Pennsylvania. This statement is also used to update shareholders, officers, and directors on the status of a corporation. There are two types of Pennsylvania Statements With Respect to Shares Domestic Business Corporation: one for the initial filing of shares, and one for an amendment of the initial statement. The initial statement must be filed prior to the issuance of any shares of a domestic business corporation; it must include the total number of shares of the corporation, the name and address of each shareholder, the name of the corporation, the date of the filing, and the signature of the officer filing the statement. The amendment statement must be filed when a change is made to the initial statement; it must include the same information as the initial statement, plus the reason for the amendment.
