The Pennsylvania Certificate of Termination Limited Partnership is a legal document used to dissolve a limited partnership in the state of Pennsylvania. A limited partnership is a business arrangement in which two or more people, called limited partners, have a financial interest in the company but do not take part in its management. The Pennsylvania Certificate of Termination Limited Partnership is also known as a Certificate of Cancellation of Registration and is filed with the Pennsylvania Department of State. The Pennsylvania Certificate of Termination Limited Partnership must include the name of the limited partnership, the county and state in which the business was registered, the date of dissolution, the signatures of all the limited partners, and a statement that all partnership liabilities have been paid or discharged. There are two types of Pennsylvania Certificate of Termination Limited Partnership: Certificate of Cancellation of Registration and Certificate of Cancellation of Existence. The Certificate of Cancellation of Registration is used if the limited partnership has assets that must be distributed among the partners prior to dissolution, while the Certificate of Cancellation of Existence is used if the partnership does not have any assets to distribute.
