The Pennsylvania Certificate of Dissolution Domestic Limited Liability Company is a document that is filed with the Pennsylvania Department of State. This document is used when a domestic limited liability company (LLC) is ready to be dissolved in the state of Pennsylvania. The Certificate of Dissolution must be signed by a majority of the members of the LLC in order for it to be accepted by the Pennsylvania Department of State. The Certificate of Dissolution must include the name of the LLC, the date of dissolution, and the signatures of the members of the LLC. There are two types of Pennsylvania Certificate of Dissolution Domestic Limited Liability Company: a Short Form Certificate of Dissolution and a Long Form Certificate of Dissolution. The Short Form Certificate of Dissolution is for LCS that have been in existence for two years or less, while the Long Form Certificate of Dissolution is for LCS that have been in existence for more than two years.
