The Pennsylvania Certificate of Limited Liability Company Authority is a document filed with the Pennsylvania Department of State that officially creates and registers a limited liability company (LLC) in the state of Pennsylvania. The Certificate of Limited Liability Company Authority is a prerequisite for an LLC to conduct business in Pennsylvania. The Certificate of Limited Liability Company Authority includes the name of the LLC, its purpose, its place of business, the names and addresses of the LLC's registered agent and members, and other required information. There are two types of Pennsylvania Certificate of Limited Liability Company Authority: the Form DSC: 20-1 and the Form DSC: 20-2. The Form DSC: 20-1 is used to form a new LLC or to register a foreign LLC in Pennsylvania. The Form DSC: 20-2 is used to amend an existing LLC's Certificate of Limited Liability Company Authority.
