Pennsylvania Voluntary Termination (Never Transacted Business) Domestic Limited Liability Company (LLC) is a type of business entity in which members are not personally liable for the debts and obligations of the LLC. It is a legal entity created by filing a Certificate of Organization with the Pennsylvania Department of State. This type of termination is applicable when the LLC was formed but never conducted any business, had no assets, no liabilities, and no members. The filing of the Certificate of Termination with the Pennsylvania Department of State is the only action required to terminate the LLC. There are two types of Pennsylvania Voluntary Termination (Never Transacted Business) Domestic Limited Liability Company: Forming Member Voluntary Termination and Non-Forming Member Voluntary Termination. Forming Member Voluntary Termination is applicable when the LLC was formed by one or more persons who are not the members of the LLC, while Non-Forming Member Voluntary Termination is applicable when the LLC was formed by one or more members of the LLC.
