Closing: 4.1 Closing Date: The closing of this Agreement shall occur on the date agreed upon by the Parties (the "Closing Date"), subject to fulfilling all the conditions outlined herein. 4.2 Closing Documents: The Parties shall prepare and execute all necessary documents and agreements, including but not limited to stock transfer forms, certificates, and other documents as required to transfer the Shares from Seller to Buyer. 5. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of Puerto Rico. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Puerto Rico.
