A Rhode Island Certificate of Conversion is a legal document that is issued by the Rhode Island Secretary of State. It is used to convert a business entity from one type to another, for example from a corporation to a limited liability company (LLC). There are three types of Rhode Island Certificate of Conversion: Domestic to Domestic Conversion, Domestic to Foreign Conversion, and Foreign to Domestic Conversion. Each type has different requirements and processes associated with it. A Domestic to Domestic Conversion allows an entity to change from one type of business to another without changing its state of incorporation. A Domestic to Foreign Conversion allows an entity to change from a domestic entity to a foreign entity, while a Foreign to Domestic Conversion allows an entity to change from a foreign entity to a domestic entity. All Certificate of Conversion applications must be submitted to the Rhode Island Secretary of State and must include the proper filing fee.
