Rhode Island Articles of Dissolution are official documents that are filed with the Rhode Island Secretary of State in order to legally dissolve a corporation or business entity. It is the official method of formally ending a corporation's existence in Rhode Island. The Articles of Dissolution must include the name of the corporation, the date of its incorporation, and the date of dissolution. There are two types of Rhode Island Articles of Dissolution: Voluntary and Involuntary. A Voluntary Article of Dissolution is filed when a corporation's shareholders decide to dissolve the corporation, and an Involuntary Article of Dissolution is filed when a corporation is dissolved due to a court order. In either case, the Articles of Dissolution must be signed by a majority of the corporation's directors, officers or shareholders. Once the Articles of Dissolution are filed with the Secretary of State, the corporation is officially dissolved and its liabilities must be settled.
