The Rhode Island Application For Certificate of Registration (Foreign LP) is a form used by a Limited Partnership (LP) that is formed outside the state of Rhode Island to register with the Rhode Island Secretary of State. This application is required in order to do business in the state, and it is used to provide the Secretary of State with information about the LP, such as its name, its principal office address, and the names of its general partners. There are two types of Rhode Island Application For Certificate of Registration (Foreign LP): Form LP-7 and Form LP-7A. Form LP-7 is used for most foreign LP registrations, and Form LP-7A is used for foreign LPs that are registered in another state or country that has a reciprocal agreement with Rhode Island. Both forms require the LP to provide information about the name and address of the LP, the name and address of the registered agent, and the name and address of each general partner.
