The South Carolina Certificate of Limited Partnership (SC CLP) is a document filed with the South Carolina Secretary of State to create and operate a limited partnership (LP). Limited partnerships are similar to general partnerships, except that they have one or more general partners (GP) and one or more limited partners (LP). The GP has unlimited liability, while the LP has limited liability. The SC CLP includes the name and purpose of the limited partnership, the name and address of each GP and LP, the name and address of the registered agent, and the name and address of the limited partnership's principal office. The SC CLP must be signed by at least one GP and must be notarized. There are two types of South Carolina Certificate of Limited Partnership: Certificate of Limited Partnership — Domestic and Certificate of Limited Partnership — Foreign. The Certificate of Limited Partnership — Domestic is used to form a limited partnership in South Carolina, while the Certificate of Limited Partnership — Foreign is used to register a limited partnership formed in another state that is doing business in South Carolina.
