South Dakota Statement of Corporate Ownership is a document required by the South Dakota Secretary of State in order to register a corporation in the state. It must be filed by the corporation’s registered agent in order to establish the corporation’s legal status in South Dakota. The statement must provide information on the corporation’s name, its registered office address, the names and addresses of the officers and directors, and the total number of authorized shares. There are two types of South Dakota Statement of Corporate Ownership: Initial Statement and Amended Statement. An Initial Statement must be filed when registering the corporation in the state, and an Amended Statement must be filed whenever there is a change in the corporation’s ownership, such as if a new shareholder or director is added or a shareholder or director leaves the corporation. Both documents require the same information, but an Amended Statement also requires a description of the change in ownership.
