The South Dakota Uniform Investment Company Notice Filing (NF) consists of two types of filings: 1) Initial Filings, and 2) Continuing Filings. Initial Filings are required for all investment companies wishing to register with the South Dakota Division of Securities. These filings must include all necessary information regarding the registration of the investment company, including its name, legal address, contact information, and a copy of the company's registration statement. Continuing Filings are required on an ongoing basis and must include any changes to the company's legal address, contact information, or registration statement. Continuing Filings must also include any amendments to the registration statement, as well as any required financial statements and other documentation. Both Initial and Continuing Filings must be completed using the South Dakota Uniform Investment Company Notice Filing (NF) form, which must be submitted in Microsoft Word format. All forms must be properly filled out and signed before being submitted to the South Dakota Division of Securities.
