The South Dakota Application for Certificate of Authority is a document used by businesses to register with the South Dakota Secretary of State in order to conduct business activities in the state. It may also be referred to as a Certificate of Authority, Certificate of Registration, or Certificate of Existence. The application must be completed and submitted to the Secretary of State with accompanying documents and fees in order for the business to gain authority to operate in South Dakota. There are two types of South Dakota Application for Certificate of Authority: (1) Domestic Entity Application for Certificate of Authority, and (2) Foreign Entity Application for Certificate of Authority. The Domestic Entity Application is used by businesses that are incorporated or formed in South Dakota and the Foreign Entity Application is used by businesses that are incorporated or formed outside of South Dakota. Both applications require the submission of a completed application form, the appropriate filing fee, and other required documents.
