There are two types of South Dakota Application for Certificate of Withdrawal: a Certificate of Withdrawal from Limited Liability Company and a Certificate of Withdrawal from Corporation. The Certificate of Withdrawal from Limited Liability Company form is used to dissolve a Limited Liability Company (LLC) that was formed in South Dakota. The Certificate of Withdrawal from Corporation is used to terminate a Corporation that was formed in South Dakota. Both forms require the filing of a signed application with the South Dakota Secretary of State.
