Tennessee Articles of Amendment to the Charter are legal documents used to make changes to the charter of a Tennessee corporation. The Articles of Amendment must be filed with the Tennessee Secretary of State to be legally effective. The amendments must be of: (1) the corporate name, (2) the corporate purpose, (3) the capitalization of the corporation, (4) the number of directors, (5) the number of shares authorized to be issued, (6) the transfer of shares, (7) the merger or consolidation of the corporation, (8) the sale or lease of assets, (9) the dissolution of the corporation, or (10) any other matter authorized by the Tennessee Business Corporation Act. The Articles of Amendment must be signed by the president, secretary, or any other authorized officer of the corporation. The Articles must also include the name of the corporation, the date of the amendment, the name and address of the registered agent, and any other relevant information.
