Tennessee Articles of Dissolution are documents filed with the Tennessee Secretary of State's office to formally dissolve a Tennessee corporation. The Articles of Dissolution must include the name of the corporation, the date of dissolution, the purpose of the dissolution, and the names and signatures of the corporate officers authorizing the dissolution. Depending on the status of the corporation, there are two types of Tennessee Articles of Dissolution: Regular and Expedited. The Regular Articles of Dissolution are used to dissolve a corporation that is in good standing with the state of Tennessee and has satisfied all of its tax and other filing requirements. The Expedited Articles of Dissolution can be used to dissolve a corporation that is in default or has failed to meet its filing obligations. Both types of Articles of Dissolution must be signed by the majority of the directors of the corporation and filed with the Secretary of State's office.
