Tennessee Articles of Amendment are legal documents used to make changes to a Tennessee corporation's Articles of Incorporation. They are filed with the Tennessee Secretary of State and become a part of the corporation's records. There are three types of Tennessee Articles of Amendment: 1) Amendment of Corporate Name; 2) Amendment of Articles of Incorporation; and 3) Merger of Corporations. The Amendment of Corporate Name is used to change the name of the corporation. The Amendment of Articles of Incorporation is used to make changes to the corporation's structure, such as changing the duration of the corporation or the number of directors. The Merger of Corporations is used when two corporations are merging into one. All three types of Tennessee Articles of Amendment require the signatures of the corporation's officers or directors, as well as a filing fee.
