Texas Form D Application Prior Notice of Transaction is a form that must be filed with the Texas State Securities Board prior to any offer or sale of securities in the state of Texas. It is also known as the Texas Notice of Securities Offer and Sale. The form is used to provide information regarding the offering, including: the issuer’s name and address; the amount of securities offered; the offering price and terms; the type of offering; and the proposed use of proceeds. It is also used to provide information about the issuer, including: its business operations; its financial history and condition; the management’s experience; and any potential conflicts of interest. The Texas Form D Application Prior Notice of Transaction can be used for the following types of securities offerings: private placements; initial public offerings (IPO); debt offerings; and venture capital investments.
