An Intellectual Property and Confidentiality Agreement (IPA) is a legally binding document that protects a business's intellectual property (IP) and confidential information from unauthorized use and disclosure. It is an agreement between two or more parties who share confidential information or IP, such as trade secrets, patents, copyrights, trademarks, and customer/client information. It defines the scope of the parties’ obligations and sets forth the consequences of any breach of the agreement. There are two types of Intellectual Property and Confidentiality Agreements: Non-Disclosure Agreements (NDAs) and Intellectual Property Licensing Agreements. A Non-Disclosure Agreement (NDA) is a legally binding agreement between two or more parties that prohibits the disclosure of confidential information. An Intellectual Property Licensing Agreement is a contract between two or more parties that grants one party the right to use the intellectual property of the other party in return for payment or other consideration.
