A Unilateral Confidential Disclosure Agreement (UCLA) is a legally binding contract between two parties, usually an individual or company, wherein one party agrees to give confidential information to the other party, who agrees to keep it confidential. It can be used to protect trade secrets, proprietary information, inventions, and other sensitive data that may be shared between two parties. There are two types of Unilateral Confidential Disclosure Agreement: Non-Disclosure Agreements (NDA) and Mutual Confidential Disclosure Agreements (CDA). An NDA is a document in which one party agrees not to disclose confidential information given by another. This type of agreement is used when protecting confidential information from being disclosed to any third party. On the other hand, a CDA is a contract that both parties agree to in order to protect confidential information from each other. This type of agreement is often used in business transactions and mergers.
