Utah Material Breach is a type of breach of contract that occurs under Utah law when a party fails to fulfill a contractual obligation in a way that significantly interferes with the contractual relationship and the other party's ability to receive the benefit of the contract. This type of breach is considered more severe than a minor breach and can result in damages being awarded to the non-breaching party. There are two types of Utah Material Breach: substantial performance and willful and wanton breach. Substantial performance is when a party does not perform according to the contract, but the non-breaching party is still able to receive the benefit of the contract. Willful and wanton breach is when a party intentionally fails to perform its obligations under the contract or performs them in a way that substantially departs from the terms of the contract.
