The Utah Accredited Investor Exemption Uniform Notice of Transaction (AIE) is a form used to register securities transactions in the state of Utah. It is used primarily for offerings to accredited investors who are not subject to registration requirements under the Utah Securities Act. The AIE is designed to provide notice to the Utah Division of Securities of the transaction and to ensure that the issuer complies with the requirements of the Utah Securities Act. The AIE consists of two parts: the Notice of Transaction and the Disclosure Statement. The Notice of Transaction includes the names of the issuer and the purchaser, the type of security being purchased, the name of the registered agent, the amount of the security being purchased, and the date of the transaction. The Disclosure Statement includes the issuer's name and address, the issuer's business plan and financial statements, a description of the type of security being offered, and any additional information necessary to ensure compliance with the Utah Securities Act. There are two types of Utah Accredited Investor Exemption Uniform Notice of Transaction: the Non-Public Notice of Transaction and the Public Notice of Transaction. The Non-Public Notice of Transaction is used for transactions conducted with accredited investors who are not subject to registration requirements under the Utah Securities Act. The Public Notice of Transaction is used for transactions with non-accredited investors who are subject to registration requirements under the Utah Securities Act.
