Utah Articles of Incorporation are a set of legal documents that are filed with the Utah Division of Corporations and Commercial Code in order to form a corporation in the state of Utah. The articles of incorporation must include the name of the corporation, its purpose, the address of its principal office, the number of shares of stock it is authorized to issue, the names and addresses of the incorporates, and certain other specific information. There are two types of Utah Articles of Incorporation: for-profit corporations and nonprofit corporations. For-profit corporations are required to provide detailed information on how the business will be managed and organized, while nonprofit corporations must provide detailed information regarding the nonprofit’s purpose and objectives, as well as how it will be operated. Both types of Utah Article of Incorporation must be signed by all the incorporates and filed with the Utah Division of Corporations and Commercial Code.
