Utah Articles of Amendment are legal documents used to make changes to an existing Utah corporation's articles of incorporation. The articles of amendment must be signed by a majority of the corporation's board of directors and then filed with the Utah Division of Corporations and Commercial Code. There are two types of Utah Articles of Amendment: a Restated Articles of Amendment and a Traditional Articles of Amendment. The Restated Articles of Amendment is used when all the existing articles of incorporation are being replaced by a single document, while the Traditional Articles of Amendment is used to make specific changes to the existing articles of incorporation. The Traditional Articles of Amendment must list the existing article or section being amended, along with the amendment being made. The Utah Articles of Amendment must also include the name of the corporation, the date of filing, a statement of the amendment to be made, the signature of the board of directors, and a certification of the amendment.
