Utah Dissolution of Certificate of Organization (LLC) is a legal process for ending a limited liability company's (LLC) existence in Utah. It is the process of legally dissolving an LLC and officially notifying the Utah Division of Corporations and Commercial Code of the dissolution. There are two types of Utah Dissolution of Certificate of Organization (LLC): voluntary dissolution and involuntary dissolution. Voluntary dissolution occurs when the members of the LLC agree to dissolve the LLC and all of its assets and liabilities have been settled. Involuntary dissolution is ordered by a court and occurs when the LLC has failed to pay debts, has violated a law, or has not followed the provisions of the LLC's operating agreement. In either case, the LLC must file a Dissolution Certificate with the Utah Division of Corporations and Commercial Code in order to complete the dissolution process.
