A Utah Certificate of Organization is a document filed with the Utah Division of Corporations and Commercial Code to create a new business entity in the state of Utah. It is a required step in the process of forming a Limited Liability Company (LLC) in Utah. The Certificate of Organization includes information about the LLC, such as the name and address of the LLC, the names and addresses of the LLC’s managers and members, the LLC’s purpose, and the effective date of the Certificate. There are two types of Utah Certificate of Organization: Standard and Professional. The Standard Certificate of Organization is the most commonly used form and can be filed online through the Utah Division of Corporations and Commercial Code website. The Professional Certificate of Organization is more complex and must be filed in person or by mail.
