Utah Withdrawal of Registration of a Foreign LP is the process of deregistering a foreign limited partnership with the Utah Division of Corporations and Commercial Code. This process is available to any foreign limited partnership that has filed an application for registration with the Division and is no longer conducting business in the state of Utah. There are two types of Utah Withdrawal of Registration of a Foreign LP: voluntary and involuntary. Voluntary withdrawal occurs when the foreign limited partnership voluntarily files an application for withdrawal with the Division. Involuntary withdrawal occurs when the Division initiates the withdrawal process because the foreign limited partnership has failed to comply with the Utah Limited Partnership Act or any other applicable laws. In either case, the foreign limited partnership must submit certain documentation to the Division in order to complete the withdrawal process.
