The Virginia Model Accredited Investor Exemption Uniform Notice of Transaction is a form developed by the Virginia State Corporation Commission to provide an exemption to the registration requirements for securities offerings in Virginia. The exemption is available to 'accredited investors' (i.e. individuals or entities that meet certain criteria as defined by the Securities and Exchange Commission) who are purchasing securities from an issuer registered in Virginia. This form must be completed and filed with the Commission prior to the purchase of the securities in order to be exempt from registration requirements. There are two types of Virginia Model Accredited Investor Exemption Uniform Notice of Transaction forms: one for natural persons, and one for entities. The form must be completed and signed by the purchaser and the issuer of the securities. It must include information about the issuer, the purchaser, the security being purchased, and the amount of the purchase. The form also requires the issuer to provide a Statement of Material Facts in support of the exemption.
