A Virginia Statement of Dissociation from a Partnership (also known as a Statement of Dissociation) is a legal document filed with the Virginia State Corporation Commission (SCC) to formally end a partnership. This document officially dissolves a partnership and is required to be filed when a partner leaves or a partnership is dissolved. It is also used to document the change in ownership or control of a business. There are two types of Virginia Statements of Dissociation from a Partnership: a Certificate of Dissociation and a Statement of Dissociation. A Certificate of Dissociation is filed to dissolve a partnership that has no assets or liabilities, while a Statement of Dissociation is filed when a partnership has assets and liabilities. Both documents require the full name of the dissociating partner, the business name, and the date of the dissociation. The Statement of Dissociation also requires the names of all other partners and the business address.
