The Virginia Statement of Registration as a Foreign Registered Limited Liability Partnership (LLP) is an official document filed with the Virginia State Corporation Commission (SCC) to register a limited liability partnership that has been formed in another state or country. This registration is required for non-Virginia Laps that have a physical presence in the state or are actively conducting business in Virginia. The statement must include the name of the LLP, its address, the name and address of the registered agent in Virginia, and the names of all the partners. There are two types of Virginia Statement of Registration as a Foreign Registered Limited Liability Partnership: Initial Statement of Registration and Annual Renewal Statement. The Initial Statement of Registration must be filed with the SCC when the LLP is first established, and must be accompanied by a registration fee. The Annual Renewal Statement must be filed each year and must include the names and address of all the partners, and a statement certifying that the LLP is in compliance with all applicable laws and regulations.
