The Wisconsin Foreign Business Corporation — Certificate of Authority Application and/or Amended Certificate is a set of documents that must be completed and submitted to the Wisconsin Department of Financial Institutions by a foreign corporation in order to obtain or amend its Certificate of Authority. The Certificate of Authority is necessary for a foreign corporation to transact business in Wisconsin. The application must include the name and address of the corporation, the jurisdiction of incorporation, the period of duration, and the purpose or purposes for which the corporation is to transact business in Wisconsin. Depending on the type of business, additional documents may be required, such as a Certificate of Good Standing from the jurisdiction of incorporation, a copy of the Articles of Incorporation, and a list of officers and directors. There are two types of Wisconsin Foreign Business Corporation — Certificate of Authority Application and/or Amended Certificate: 1) the Application for Certificate of Authority, and 2) the Amended Certificate of Authority. The Application for Certificate of Authority is required for a foreign corporation to establish a new Certificate of Authority in Wisconsin, and the Amended Certificate of Authority is required for a foreign corporation to amend an existing Certificate of Authority in Wisconsin.
