A Wisconsin Foreign Limited Partnership Certificate of Amendment and/or Cancellation is a document that is filed with the Wisconsin Department of Financial Institutions in order to make changes to a foreign limited partnership’s certificate of authority. This document is used to make amendments or cancel an existing certificate of authority for a foreign limited partnership registered in Wisconsin. This document must include the information regarding the foreign limited partnership, such as the name, address, and state of formation. It must also include the name and address of the registered agent of the foreign limited partnership in Wisconsin. There are two types of Wisconsin Foreign Limited Partnership Certificate of Amendment and/or Cancellation that can be filed: Certificate of Amendment and Certificate of Cancellation. A Certificate of Amendment is used to make changes to an existing certificate of authority, such as changing the name of the partnership, altering the purpose of the partnership, or changing the registered agent. A Certificate of Cancellation is used to revoke and cancel an existing certificate of authority.
