The West Virginia Application for Exemption from Certificate of Authority is a form used by out-of-state businesses that wish to transact business in West Virginia without having to obtain a Certificate of Authority from the West Virginia Secretary of State. There are two types of West Virginia Application for Exemption from Certificate of Authority: (1) Exemption from Certificate of Authority for Out-of-State Businesses (Form WV-EXC) and (2) Exemption from Certificate of Authority for Non-Profit Corporations (Form WV-NPC). Form WV-EXC must be completed and submitted to the Secretary of State by any out-of-state business that wishes to transact business in West Virginia without having to obtain a Certificate of Authority. The business must provide information such as its name, address, contact information, type of business, and the name of its registered agent, as well as a statement of the nature of its business and the activities it wishes to conduct in West Virginia. Form WV-NPC must be completed and submitted to the Secretary of State by any non-profit corporation that wishes to do business in West Virginia without having to obtain a Certificate of Authority. The non-profit must provide information such as its name, address, contact information, type of business, and the name of its registered agent, as well as a statement of the nature of its business and the activities it wishes to conduct in West Virginia. Both forms require a filing fee and must be accompanied by a completed West Virginia Business Corporation Registration Statement.
